Terms of Service – VoiceLogica.ai

1. Introduction and Acceptance

Voice Logica P.C. (G.E.MI. 183940301000) offers the VoiceLogica.ai service, a platform of voice AI agents that perform inbound and outbound calls, provide SMS/Email message summaries, and offer APIs and additional features. By creating an account and/or using the platform, the user confirms that they have read, understood, and fully accepted these Terms of Service.

2. Definitions

  • User: Any natural or legal person accessing the service.
  • Agent: The autonomous voice assistant created and managed via the platform.
  • AI Minutes: The computational speech processing time consumed during an Agent's operation.
  • Subscription: The User's active service plan.
  • Add-On: Any optional feature that can be added to the base Subscription.
  • Customer Data: The information input or generated by the User through use of the service.

3. Account Registration and Eligibility

To open an account, the User must submit accurate identification information and confirm they act for business purposes and are at least 18 years old. Voice Logica reserves the right to reject or suspend accounts that do not meet legal requirements or exhibit abusive behavior.

4. Subscription Plans

The service is offered in tiered plans (e.g., Starter, Skilled, Advanced, Enterprise), which differ in available features, concurrent call limits, and capabilities. Financial terms and activation details are specified in a separate commercial policy document, which does not form part of these Terms.

5. Trial Period and Beta Features

Voice Logica may offer trial access or beta features. These are provided “as is” and may be changed or withdrawn without prior notice.

6. Fair Use and Technical Limitations

The platform enforces rate limiting, maximum concurrent calls, and API usage caps to maintain system stability and security. The Company may temporarily or permanently suspend an account in case of misuse or abnormal traffic.

7. Payments, Billing, and Taxes

Service fees are charged regularly based on the Subscription terms agreed upon activation. The User must settle all invoices on time. In case of default, the Company may suspend the service until full payment is received. Detailed billing terms are governed by a separate commercial policy.

8. Cancellation, Upgrade, and Downgrade

The User may cancel their Subscription at any time, effective at the end of the current billing cycle. Upgrades take effect immediately, while downgrades apply from the next cycle. Prepaid fees are non-refundable, unless otherwise required by applicable law.

9. Partner Program

Voice Logica offers distinct Partner Programs. Participation requires acceptance of specific terms, which include compliance with applicable data protection rules.

10. Data Protection and Privacy

Each party acts as an independent Data Controller. Voice Logica processes Customer Data solely to provide and support the service, and implements technical and organizational safeguards in accordance with the GDPR, the e-Privacy Directive, and Greek law. In case of a data breach, the Company will notify the relevant supervisory authority and the User without undue delay.

11. Confidentiality and Security

Information not publicly available is deemed confidential and will not be disclosed to third parties without prior approval of the affected party, except when required by law or court order. The platform is hosted on infrastructure compliant with international security standards.

12. Intellectual Property

All rights to the software, AI models, and platform content belong to Voice Logica P.C. The User retains full rights over their own data and prompt inputs. Rights to use any voice cloning features are limited to the duration and purposes of the subscription.

13. Acceptable Use

It is prohibited to use the platform for illegal, harmful, defamatory, discriminatory, spam-related, or emergency call activities. The Company reserves the right to remove content or suspend accounts that violate this policy.

14. Disclaimer of Warranties

The service is provided “as is.” The Company does not guarantee uninterrupted or error-free operation, nor 100% accuracy of AI-generated results.

15. Limitation of Liability

Voice Logica’s total liability for proven direct damages caused by gross negligence or willful misconduct is limited to the amount paid by the User during the previous quarter. Liability for indirect or consequential damages is expressly excluded.

16. Indemnification

The User agrees to indemnify Voice Logica against third-party claims arising from illegal or abusive use of the content or calls made through the service.

17. Suspension and Termination

Either party may terminate these Terms with thirty (30) days’ written notice. The Company reserves the right to immediately suspend or terminate access in the event of material breach or legal obligation.

18. Service or Terms Modifications

Voice Logica may revise the service or Terms, notifying the User via email or in-platform announcements. Changes take effect thirty (30) days after notice, unless immediate application is required for security or compliance.

19. Governing Law and Jurisdiction

These Terms are governed by Greek law. Any disputes are subject exclusively to the competent courts of Athens.

20. Dispute Resolution

The parties shall make every reasonable effort to resolve disputes amicably. If unsuccessful, they may proceed with mediation and, if still unresolved, to the courts designated above.
